TutorForMyKids Limited, as well as its subsidiaries, representatives, and affiliates (collectively, "Tutor For My Kids," "we," "us," or "our") provides its services (described below) to you through its online technology platform called the "TutorForMyKids Platform". Through the use of an online technology platform called the "TutorForMyKids Platform," minors in need of online teaching can communicate with and enroll in classes from teachers who work in the field of providing such services, known as "Teachers."

The platform located at tutorformykids.com (the “Site”), along with its related services (collectively referred to as the "Service(s)"), including any new features and applications, is provided subject to these Terms of Service (as updated periodically, the “Terms of Service”).

TutorForMyKids is an online platform designed to connect Students with qualified Tutors for personalized tutoring sessions tailored to meet the unique educational needs of their children. As a marketplace facilitator, TutorForMyKids does not create, manage, own, or resell tutoring sessions. The role of TutorForMyKids is limited to: (i) providing the platform to enable the discovery, booking, and conduct of tutoring sessions, and (ii) acting as a limited agent for Tutors to accept payments from Parents on their behalf. While we strive to offer a secure and positive environment, you acknowledge that there are inherent risks when interacting with other Users (including those who may misrepresent themselves). These risks are assumed by you, not TutorForMyKids. TutorForMyKids does not control the behavior of Users or the quality of tutoring sessions, and therefore cannot guarantee the authenticity, quality, safety, legality, or appropriateness of any sessions booked through the platform.

By accessing or using the TutorForMyKids platform, you: 1) confirm that you are of legal age to access the TutorForMyKids Platform 2) are of legal age to form, and have formed, a binding contract with us, and 3) that you accept these Terms of Use (“Terms”) and you agree to comply with them.

Your access to and use of our website and the TutorForMyKids Platform is also subject to our Privacy Policy, including any additional terms that are added to the Privacy Policy and made available to you from time to time. If you are a parent or legal guardian, and you allow your child to use the TutorForMyKids Platform, these Terms apply to you and you are responsible for your child’s activity on the TutorForMyKids Platform.

Contractual Relationship

 These Terms constitute an agreement between you and us, outlining the rules and conditions for your access to and use of the TutorForMyKids website. If you choose to register as a Teacher on the TutorForMyKids platform, a separate Independent Contractor Agreement will be required for your role as a Teacher on the platform.

These Terms are legally binding, so please review them carefully. We recommend that you print or save a copy for your records. By accessing or using the website, you agree to comply with these Terms. If you do not accept the Terms, you will not be able to access or use the website.  

 Privacy Policy

As noted above, your use of our website and the TutorForMyKids Platform is subject to our Privacy Policy, the terms of which are fully incorporated by reference into these Terms.

 Use of the Service

You are responsible for ensuring all necessary arrangements are in place to access the TutorForMyKids website. If you access the website through unauthorized means, we cannot guarantee its proper functionality and disclaim any liability for resulting losses.

To enhance user experience, we may occasionally update the website, related domains, and applications. Notifications about updates or improvements may be provided through system prompts or in-application messages. If you choose not to accept these updates, some functions of the website and/or TutorForMyKids Platform may be limited or may not work as intended. Additionally, certain functions may require network access, and you will be responsible for any costs related to your equipment and internet connection.

You acknowledge that using the TutorForMyKids website is at your own risk. The site is provided on an "AS IS" and "as available" basis, without any warranty.

As a condition of using the TutorForMyKids website, you agree to comply with all applicable laws, regulations, and rules. You further agree not to (i) decompile, reverse engineer, or disassemble the website or platform; (ii) link, mirror, or frame any portion of the website or platform; (iii) use any automated scripts or programs to scrape, index, or data mine the website or platform, or overload its operations; or (iv) attempt to gain unauthorized access to any part of the website, platform, or its related systems or networks.

 Teacher's Obligations

As a teacher on TutorForMyKids, you agree to fulfil the following obligations:

● Conduct all tutoring sessions in a professional, respectful, and ethical manner.

● Uphold the highest standards of teaching and ensure the sessions are focused on the educational benefit of the student.

● Refrain from any form of discrimination, harassment, or inappropriate behaviour in your interactions with students and their parents.

● Adapt your teaching methods to suit the student's learning pace and style, ensuring the student is able to understand and apply the material being taught.

● Begin and end each session on time, maintaining the schedule agreed upon with the Parent.

● Notify the Parent and TutorForMyKids promptly if you need to cancel or reschedule a session, giving adequate notice whenever possible.

● Provide regular, clear, and constructive feedback to the Parent about the student's progress and any areas of concern or improvement via the platform

● Provide accurate, complete, and truthful information in your profile, including your qualifications, experience, and availability.

● Maintain the confidentiality of all student information, including their academic progress, learning challenges, and personal details, and comply with TutorForMyKids’ privacy policies.

Changes

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these terms were last revised. We will also notify you, either through the Services user interface, in an email notification or through other reasonable means. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Services or changes made for legal reasons will be effective immediately. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.

Your Account If you decide to sign-up to use the TutorForMyKids Platform as a Teacher or Student, you will need to create an account with us. When creating an account, you will need to provide information about yourself, as set out in our Privacy Policy. In doing so, you must provide accurate and up-to-date information. It is important that you maintain and promptly update your details and any other information you provide to us, to keep such information current and complete. It is important that you keep your account password confidential and that you do not disclose it to any third-party. If you know or suspect that a third-party knows your password or has accessed your account, please notify us at support@tutorformykids.com. You agree that you are solely responsible (to us and to other users) for activity that occurs under your account.

Intellectual Property

You agree not to use the website to infringe any intellectual property rights as a condition of your access to and use of the TutorForMyKids website. As between you and us, all content, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music on and “look and feel” of the TutorForMyKids website and TutorForMyKids Platform, and all intellectual property rights related thereto (the “TutorForMyKids Content”), are either owned or licensed by us. Use of the TutorForMyKids Content or materials on the website for any purpose not expressly permitted by these Terms is strictly prohibited. Such content may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed or otherwise exploited for any purpose whatsoever without our or, where applicable, our licensors’ prior written consent. We and our licensors reserve all rights not expressly granted in and to their content.

Subject to these Terms, we grant you a non-exclusive, limited, non-transferable, non-sublicensable, revocable license to access and use the website and to access the TutorForMyKids Content through your use of the website, solely for your personal, non-commercial use, in accordance with these Terms, and applicable law, including any applicable intellectual property law. We reserve all rights not expressly granted herein in the website, the TutorForMyKids Platform, and the TutorForMyKids Content. You acknowledge and agree that we may terminate this license at any time for any reason or no reason. You further acknowledge and agree that (i) should you decide to sign-up to use the TutorForMyKids Platform as a Teacher, you will need to enter into a separate Independent Contractor Agreement withTutorForMyKids, and (ii) you will not be able to access the TutorForMyKids Platform as a Teacher without a current and active Independent Contractor Agreement.

KYC Verification

We may require you to verify your identity by providing a valid ID, proof of address, and evidence of teaching experience or educational certification. Where applicable banking details may also be requested. By submitting these details, you consent to us sharing them with secure verification agencies and regulatory government bodies, as required.

Refund Policy

Refunds are limited to specific cases, such as failure to connect with a teacher within t agreed timeframe or when a teacher breaches agreed service standards. Requests must be submitted within 5 days of the transaction or end of agreed timeframe and will be reviewed on a case-by-case basis.

Refunds will not be issued for:

● Dissatisfaction with teaching style or methodology.

● Incomplete classes caused by user-side(Student) issues.

Indemnity

You agree to defend, indemnify, and hold harmless TutorForMyKids, our subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents and advisors from any and all claims, liabilities, costs, and expenses, including, but not limited to, a orneys' fees and expenses, arising out of a breach by you or any user of your account of these Terms, or arising out of a breach of your obligations, representation and warranties under these Terms.

Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TUTORFORMYKIDS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITEDTOTHEIMPLIEDWARRANTIESOF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TUTORFORMYKIDS MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION,OROTHERMATERIAL PURCHASED OR OBTAINED BY YOUTHROUGHTHESERVICEWILLMEETYOUR EXPECTATIONS.

YOU ACKNOWLEDGE AND AGREE THAT ANY CRIMINAL BACKGROUND CHECKS CONDUCTED BY TUTORFORMYKIDS ON TEACHERS ARE SOLELY FOR ITS OWN BENEFIT. TUTORFORMYKIDS MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS ON THE SITE OR SERVICE.

 Limitation of Liability

IN NO EVENT WILL TUTORFORMYKIDS, INCLUDING OUR AFFILIATES, SUBSIDIARIES, , SUCCESSORS AND ASSIGNS, AND EACH OF OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SHAREHOLDERS, BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITHYOURUSEOFTHETUTORFORMYKIDSWEBSITE,ORTHESE TERMS, HOWEVER ARISING, INCLUDING NEGLIGENCE, EVEN IF WE OR OUR AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CERTAIN JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

YOU ARE RESPONSIBLE FOR ANY MOBILE AND NETWORK CHARGES THAT MAY APPLY TO YOUR USE OF THE WEBSITE OR THE TUTORFORMYKIDS PLATFORM. IF YOU ARE UNSURE WHAT THOSE CHARGES MAY BE, YOU SHOULD ASK YOUR SERVICE PROVIDER BEFORE ACCESSING THE WEBSITE OR THETUTORFORMYKIDSPLATFORM.

The website and TutorForMyKids Platform may contain links to websites that are owned, controlled, developed, sponsored and/or maintained by third parties and which may be subject to additional terms and conditions (“Third-Party Websites”). TutorForMyKids does not review, monitor, operate and/or control the Third-Party Websites and Tutorformykids makes no guarantees, representations and/or warranties as to, and shall have no liability for, the content available on or through and/or the functioning of the Third-Party Websites. By providing access to Third-Party Websites, TutorForMyKids is not recommending and/or otherwise endorsing the products and/or services provided by the sponsors and/or owners of those websites. Your access and/or use of the Third-Party Websites, including providing information, materials and/or other content to the Third-Party Websites, is entirely at your own risk. TutorForMyKids reserves the right to discontinue links to any Third-Party Websites at any time and for any reason, without notice.

Termination

You acknowledge and agree that TutorForMyKids has the right, at its sole discretion, to suspend or terminate your account (or any portion of it) or your use of the Service, as well as to remove and discard any content within the Service, for any reason. This includes, but is not limited to, inactivity or if TutorForMyKids believes you have violated or acted inconsistently with the terms or spirit of these Terms of Service. Any suspected fraudulent, abusive, or illegal activity may result in termination of your access to the Service and could be reported to law enforcement authorities. TutorForMyKids also reserves the right to discontinue the Service, or any part of it, at any time, with or without notice. You understand that any termination of your access under these Terms of Service may occur without prior notice, and TutorForMyKids may immediately deactivate or delete your account and all associated information and files, and/or prevent further access to the Service. Additionally, you agree that TutorForMyKids shall not be liable to you or any third party for the termination of your access to the Service.

 Governing Law

These Terms are governed and construed by the laws of the Federal Republic of Nigeria.

 Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire legal agreement between you and us concerning your access and use of the TutorForMyKids website. As stated above, should you decide to sign-up to use the TutorForMyKids Platform as a Teacher, you will need to execute a separate Independent Contractor Agreement with respect to your use of the TutorForMyKids Platform as a Teacher.

No Waiver

Our failure to insist upon or enforce any provision of these Terms shall not be construed as a waiver of any provision or right.

Security

We do not guarantee that the website or TutorForMyKids Platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs and platform to access the website. You should use your own virus protection software.

Severability

 If any provision of these Terms is held to be invalid, then that provision will be removed from the Terms without affecting the rest of the Terms, and the remaining provisions of the Terms will continue to be valid and enforceable.

Interpretation

Headings and the contents page in these Terms are included for convenience purposes only and shall not affect the interpretation of these Terms.

 Dispute Resolution/Arbitration Provision

 You agree that any and all disputes or claims that have arisen or may arise between you and TutorForMyKids, whether arising out of or relating to this Terms of Service (including any alleged breach thereof), the Services, any advertising, any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement. You agree that, by entering into this Terms of Service, you and TutorForMyKids are each waiving the right to participate in a class action. Any dispute, controversy or claim arising out of or relating to this contract, or the breach, termination or invalidity thereof, shall be led by arbitration in accordance with the Lagos Court of Arbitration Rules

Class Action Waiver 

You and TutorForMyKids mutually agree that, by entering into this agreement to arbitrate, you and TutorForMyKids both waive your right to have any dispute or claim brought, heard or arbitrated as, or to participate in, a class action, collective action and/or representative action, and an arbitrator shall not have any authority to hear or arbitrate any class, collective and/or representative action (“Class Action Waiver”). In any case in which (1) the dispute is filed as a class, collective, or representative action and (2) there is a final judicial determination that all or part of the Class Action Waiver is invalid or unenforceable, the class, collective, and/or representative action to that extent must be litigated in a civil court of competent jurisdiction, but the portion of the Class Action Waiver that is enforceable shall be enforced in arbitration.

 Attorneys’ Fees and Costs

Each party will pay the fees for its own attorneys/representatives, subject to any remedies to which that party may later be entitled under applicable law. Costs incidental to the arbitration, including the cost of the Arbitrator and the meeting site (“Arbitration Costs”), will be borne by you and TutorForMyKids equally unless otherwise required by applicable law. Any dispute regarding a party’s obligation to pay Arbitration Costs will be determined by the Arbitrator. Except as may be permitted or required by law, as determined by the Arbitrator, neither a party nor an Arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of the parties. A court of competent jurisdiction will have the authority to enter a judgment upon the award made pursuant to the arbitration.
